Introduction
These Terms and Conditions govern the use of the services offered by Sonoti, Inc. (hereafter referred to as “Sonoti”). By accessing or using the services provided by Sonoti, you acknowledge and agree to these Terms.
Acceptance of Terms
By using Sonoti's Services, you confirm your acceptance of these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree, you must not use the Services.
The Sonoti Service
Sonoti is a proxy and observability layer that sits between your applications and third-party large language model providers. It applies prompt compression, semantic caching, and model routing to reduce your model spend, and reports on usage and savings. Sonoti routes your requests to the providers you select or that our routing logic selects on your behalf; those providers are independent third parties and are responsible for the models and responses they deliver.
Privacy and Data Protection
Sonoti is committed to protecting your privacy and adhering to data protection regulations. Our detailed Privacy Policy, which is an integral part of these Terms, outlines how we collect, process, store, and protect your personal data and Customer Data, including compliance with GDPR for users in Europe. We also describe your rights regarding your personal information and how to exercise them.
Account Registration and Use
- Account Creation: You must register an account to access certain features of our Services. During registration, you must provide accurate and complete information.
- API Keys and Credentials: Access to the proxy is authenticated with API keys issued to your Workspace. You are responsible for keeping these keys confidential and for all activity carried out with them.
- Account Responsibility: You are responsible for all activities that occur under your account and for maintaining the confidentiality of your account credentials.
- Data Accuracy: You must ensure that your account information remains current and accurate.
User Obligations and Service Use
- Compliance: You agree to use our Services in accordance with these Terms, applicable laws, and the usage policies of any model provider your requests are routed to.
- Your Content: You are solely responsible for the prompts, inputs, and other data you send through the Services, and you represent that you have the rights necessary to send that data and to have it processed by Sonoti and the relevant providers.
- Prohibited Conduct: You must not engage in illegal activities, infringe upon intellectual property rights, transmit harmful or objectionable content, attempt to circumvent rate limits or security controls, reverse engineer the Services, or use the Services to build a competing product.
Fees and Billing
Paid plans are billed according to the pricing presented at sign-up, which may combine a per-seat subscription with a share of the savings Sonoti generates for you, whichever is greater for your plan. Fees are exclusive of taxes, which you are responsible for. Unless stated otherwise, fees are non-refundable, and we may change pricing on a prospective basis with reasonable notice. Non-payment may result in suspension or termination of access.
Intellectual Property Rights
All intellectual property rights in the Services and the underlying technology are owned by Sonoti. You retain all rights to the Customer Data you send through our Services, and you grant Sonoti a limited, non-exclusive license to process that data as necessary to provide, secure, and improve the Services. Aggregated and anonymized data that does not identify you or your Customer Data may be used to operate and improve the Services.
Third-Party Providers and Links
The Services route requests to third-party model providers and may contain links to third-party websites or services. We are not responsible for their content, availability, pricing, or practices, and your use of any provider is also governed by that provider's own terms. Any transactions or interactions you have with third-party services are solely between you and the third party.
Modification and Termination of Services
We reserve the right to modify, suspend, or discontinue our Services at any time, with or without notice. In case of discontinuation, we will make reasonable efforts to notify you and provide options to retrieve your content, if applicable.
Disclaimer of Warranties
Sonoti provides the Services on an “as is” and “as available” basis. While we strive for high quality, we cannot guarantee that the Services will meet all your needs, be uninterrupted or error-free, or that any particular level of savings will be achieved. We disclaim all warranties, express or implied, to the extent permitted by law.
Limitation of Liability
Sonoti will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use or inability to use the Services, including any acts, omissions, outages, or charges of third-party model providers.
Indemnification
You agree to indemnify and hold harmless Sonoti and its affiliates from any claims, damages, or expenses, including reasonable legal fees, arising from your use of the Services or your violation of these Terms, including any damage or dispute caused by data you submit or send through the Services.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of Delaware, United States. For international users, any disputes will be resolved under Delaware law, considering the most relevant international laws applicable to the specific case.
Changes to Terms
Sonoti reserves the right to modify these Terms at any time. We will provide notice of significant changes through our Services or by sending you an email. Your continued use after such notice will constitute acceptance of the new Terms.
